Failure to make required payments may result in suspension of services, project delays, withholding of deliverables, or termination of services to the extent permitted by applicable law and the applicable service agreement.
6. THIRD-PARTY COSTS
Some projects may require products or services supplied by third parties, including:

Website hosting
Cloud services
Software licenses
APIs
AI platforms
Payment processors
Advertising platforms
Email or SMS services
Database services
Mobile application stores
Plugins and extensions
Stock photography or media
CRM platforms
Other technology providers
Unless specifically included in a written proposal, the client may be responsible for these third-party charges.
Third-party products and services are also subject to the respective provider's terms, policies, pricing, and availability.
7. REFUNDS AND CANCELLATIONS
Because many TRISPIN INNOVATIONS LLC services involve professional time, consulting, customized development, digital services, research, design, programming, marketing, or other work performed specifically for a client, payments may become non-refundable once work has commenced, subject to applicable law and the terms of the applicable agreement.
Any specific refund or cancellation rights will be identified in the applicable proposal, invoice, service agreement, or refund policy.
Nothing in these Terms eliminates any refund, cancellation, or consumer right that cannot legally be waived.
8. CLIENT RESPONSIBILITIES
Clients are responsible for providing accurate and timely information necessary to complete their projects.

Photographs and videos
Website content
Account credentials
Technical information
Required approvals
Legal disclosures
Product specifications
Marketing materials
Project schedules may be extended when required information, approvals, payments, or materials are delayed.
The client represents that it has the necessary rights and permissions to provide any content, trademarks, photographs, videos, data, documents, or other materials supplied to TRISPIN INNOVATIONS LLC.
9. INTELLECTUAL PROPERTY
Unless otherwise specified in a written agreement, all pre-existing technology, software, systems, methodologies, processes, templates, concepts, frameworks, know-how, tools, trademarks, proprietary materials, and intellectual property belonging to TRISPIN INNOVATIONS LLC remain the property of TRISPIN INNOVATIONS LLC or their respective owners.
Ownership of custom deliverables developed specifically for a client will be determined by the applicable written agreement.
Where ownership of final custom deliverables is transferred to a client, such transfer may be conditioned upon receipt of full payment.
Third-party software, fonts, photographs, plugins, APIs, AI technologies, libraries, themes, platforms, and other licensed materials remain subject to their respective licenses and ownership rights.
10. INVENTIONS, IDEAS, AND PRODUCT DEVELOPMENT
TRISPIN INNOVATIONS LLC may provide consulting, development, research, marketing, commercialization, or strategic assistance relating to inventions, ideas, concepts, and new products.
Unless TRISPIN INNOVATIONS LLC expressly agrees otherwise in a written agreement, submitting an unsolicited idea through our general website, email, contact form, or other communication channel does not by itself create a confidential, fiduciary, partnership, joint venture, or intellectual-property ownership relationship.
Clients seeking confidential evaluation of an invention or proprietary concept should request an appropriate confidentiality or non-disclosure agreement before disclosing sensitive proprietary information.
TRISPIN INNOVATIONS LLC does not guarantee that an invention or product will receive a patent, trademark, copyright registration, investment, financing, licensing agreement, manufacturing agreement, distribution agreement, or commercial success.
Clients should obtain advice from qualified intellectual property attorneys concerning patentability, trademarks, copyrights, trade secrets, and other intellectual property protections.
11. ARTIFICIAL INTELLIGENCE SERVICES
Certain products or services may incorporate artificial intelligence, machine learning, automated systems, third-party AI platforms, or AI-generated content.
AI-generated information may contain errors, omissions, inaccuracies, or unexpected results and should be independently reviewed when used for important business, financial, legal, technical, medical, regulatory, or other consequential decisions.
TRISPIN INNOVATIONS LLC does not guarantee that AI-generated information will always be accurate, complete, unique, or appropriate for every purpose.
Clients remain responsible for reviewing and approving final materials before publication, distribution, implementation, or commercial use.
12. MARKETING AND BUSINESS RESULTS
TRISPIN INNOVATIONS LLC may provide marketing, advertising, SEO, business development, technology, sales, consulting, and growth-related services.
However, business performance depends on numerous factors outside our control.
Unless expressly guaranteed in a separate written agreement, we do not guarantee:
Specific sales results
Search-engine rankings
Website traffic levels
Lead volume
Conversion rates
Financing or investment
Business profitability
Market acceptance
Product sales
Social media performance
Specific revenue increases
Commercial success
Any projections, forecasts, examples, or estimates are provided for planning or informational purposes and are not guarantees of future performance.
13. WEBSITE AND SOFTWARE AVAILABILITY
We make reasonable efforts to maintain our websites, applications, and technology services, but we cannot guarantee uninterrupted or error-free operation.
Services may occasionally be unavailable because of maintenance, upgrades, technical problems, cybersecurity incidents, internet failures, hosting-provider issues, third-party outages, or circumstances beyond our reasonable control.
14. DATA AND PRIVACY
Information collected through our website and services will be handled in accordance with our applicable Privacy Policy and other privacy disclosures.
Clients and users are responsible for reviewing our Privacy Policy to understand how personal information may be collected, used, disclosed, stored, and protected.

Clients should clearly identify confidential or proprietary information and use appropriate confidentiality agreements before providing highly sensitive business information, trade secrets, invention details, or other proprietary materials.

20. TERMINATION OF SERVICES
TRISPIN INNOVATIONS LLC may suspend or terminate services when a client materially violates these Terms or an applicable service agreement, fails to make required payments, engages in unlawful activity, abuses our systems, or creates a material security or legal risk.
Clients may terminate services according to the cancellation or termination provisions contained in their applicable agreement.
Termination does not eliminate payment obligations that accrued before termination.
21. GOVERNING LAW
Unless a separate written agreement provides otherwise, these Terms will be governed by the laws of the State of New Mexico, without regard to conflict-of-law principles.
Any dispute will be handled in accordance with applicable law and any dispute-resolution provisions contained in the applicable service agreement.
22. CHANGES TO THESE TERMS
TRISPIN INNOVATIONS LLC may revise these Terms from time to time to reflect changes in our services, business practices, technology, or legal requirements.
When material changes are made, the “Last Updated” date at the top of this page will be revised.
Your continued use of our website or services after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by applicable law.
